These Terms of Service (“Terms”) govern your access to and use of the Site and any content, products, music, services, or merchandise provided through the Site, including our affiliate brand storefronts SearlStudio Kids, Home Music Production, and The Mystic Vibe, and any music streamed under the Ambient Mystic moniker (collectively, the “Services”). Please read these Terms carefully; by accessing or using any part of the Site or Services you agree to be bound by them. If you do not agree, do not use the Site.

1. Definitions

“Content” means all text, audio recordings, music tracks, albums, e‑books, children’s books, images, graphics, video, code, and other materials available on the Site.

“Digital Products” means downloadable or streamable books, music, PDFs, sound files, or any other intangible products offered for sale or free.

“Merchandise” means tangible goods (e.g., T‑shirts, mugs, hats) sold through our Site or linked storefronts.

“User,” “you,” or “your” means any person who visits, browses, purchases from, or otherwise interacts with the Site.

2. Eligibility

a. Pricing & Taxes — Prices are listed in U.S. dollars. Taxes and shipping (for physical goods) are calculated at checkout.

b. Payment Processing — We use approved third‑party processors (e.g., Stripe, PayPal). By purchasing you agree to their terms and authorize us to charge your selected payment method.

c. Digital Products — All sales of Digital Products are final and non‑refundable once download or streaming access is delivered.

d. Merchandise — For physical goods, risk of loss transfers to you upon delivery to the carrier. See our separate Return & Refund Policy for details.

e. Subscriptions/Pay‑What‑You‑Want — If we offer subscription or donation tiers, recurring charges will continue until you cancel in your account settings at least 24 hours before the next billing cycle.

5. Digital Content: License & Usage

• Free Streaming — Meditation tracks streamed on the Site are licensed for personal, non‑commercial listening only.

• Purchased Music & Books — When you buy a Digital Product we grant you a limited, non‑exclusive, non‑transferable license to download or stream the Content on your personal devices for your own private use. Any commercial exploitation, public performance, redistribution, resale, or derivative use without written permission is prohibited.

• Sound Libraries & Samples — Sound libraries may carry their own End User License Agreement (“EULA”). In case of conflict, the EULA prevails.

6. Intellectual Property

All Content is owned by SearlStudio Group,  LLC or its licensors and is protected by U.S. and international copyright, trademark, and other laws. “Stephan Earl,” “Home Music Production,” “The Mystic Vibe,” “Ambient Mystic,” “Sonic Buffet,” and associated logos are trademarks of SearlStudio Group,  LLC. Nothing herein transfers any ownership rights to you.

7. Acceptable Use

You agree not to: (a) copy, modify, reverse‑engineer, or create derivative works from the Site or Content; (b) use the Site for any illegal purpose; (c) interfere with security or functionality; (d) scrape or data‑mine; (e) upload viruses or malicious code; (f) infringe any third‑party rights; (g) impersonate any person or entity.

8. User Submissions & Feedback

If you post reviews, comments, or creative suggestions, you grant us a perpetual, worldwide, royalty‑free right to use, reproduce, and display that material in any media. Do not submit anything confidential.

9. Third‑Party Services & Links

The Site may link to external platforms (e.g., Etsy, Bandcamp, Shopify). We do not control those sites and are not responsible for their content or practices; your use is at your own risk.

10. No Professional Advice

11. Merchandise Shipping, Returns & Exchanges

Shipping times are estimates. Lost or damaged shipments should be reported within 7 days of delivery. Certain items (e.g., intimate apparel) may be non‑returnable. Custom or print‑on‑demand merchandise is produced by third‑party partners; their policies may apply.

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER SEARLSTUDIO GROUP,  LLC NOR ITS DIRECTORS, EMPLOYEES, OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any dispute not resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association in Seminole County, Florida. You waive any right to participate in class actions.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date. Continued use of the Site after changes constitute acceptance.

17. Termination

We may suspend or terminate your access at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful.

18. Severability & Waiver

If any provision is held invalid, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver.

19. Entire Agreement

These Terms, plus any additional policies referenced herein (Privacy Policy, Return & Refund Policy, individual EULAs), constitute the entire agreement between you and SearlStudio Group, LLC regarding the Site.
